General terms and conditions for the use of the On Vacation Experience membership

This document is part of the On Vacation Experience timeshare vacation membership contract, acquired by the Affiliates who wish to enjoy vacation periods using THE MEMBERSHIP described in THE CONTRACT entered into. Whoever subscribes or registers under the modalities presented, is obliged to read carefully the document detailed below, committing then to execute the obligations described herein and that have been ratified with the subscription of the On Vacation Experience personal timeshare vacation membership contract.

 

ARTICLE I. OBJECT OF THESE REGULATIONS: Two main objects are to be determined, namely:

  • To implement all the means, forms and procedures, as well as the necessary rules and regulations, in order to establish the logical, rational and adequate application of THE MEMBERSHIP named ON VACATION EXPERIENCE.
  • To guarantee the rights of Affiliates or Users.

ARTICLE II. DEFINITIONS: In order to establish clear guidelines, the scope of the terms to be used between the parties is determined in advance as follows:

  • ON VACATION EXPERIENCE MEMBERSHIP. Hereinafter THE MEMBERSHIP, consists of the purchase, taking or appropriation of a timeshare membership of a personal nature, that is to say that it does not transfer real rights, nor property rights, by which depending on the category and sub category acquired by the affiliate, he/she receives nights of lodging in the hotels that according to the membership corresponds to him/her, Likewise, he/she receives a series of limited annual opportunities to make reservations and enjoy the lodging in hotels that are not part of his/her membership but are within the portfolio of THE COMPANY, and also acquires a series of special benefits, according to the terms and conditions established in these Regulations and the contract. Given the links of THE COMPANY with other companies dedicated to offer tourist services, THE COMPANY may eventually offer THE AFFILIATE, access and special prices in products such as car rental, tours, lodging in hotel establishments that are not part of the On Vacation chain, airline tickets to destinations not operated by THE COMPANY, among others.
  • THE COMPANY. TOUR VACATION HOTELES AZUL S.A.S. is hereby named; a company with its main domicile in the city of Bogotá, D.C., registered on August 10, 2009 under the number 01318613 of Book IX, registered in the Mercantile Registry of the Chamber of Commerce of Bogotá, under the number 01920679, with NIT. 900.304.940-9, which is the legal entity in charge of THE MEMBERSHIP, responsible for its conformation, structuring, direction, operation, exercise and mission, with National Tourism Registry (RNT. 22675).
  • AFFILIATE. Natural person in whose name the ownership of THE MEMBERSHIP is held.
  • GUEST. A natural person who may accompany the member, paying a special fee, if the category and subcategory of the membership allows for guests.
  • USE. The affiliate who has paid 10% of the value of the membership and is up to date in the payment of its obligations, may request with a notice of fifteen (15) calendar days the reservation to enjoy the accommodation according to availability for memberships 100 quotas per night for all hotels in the chain (subject to hotel capacity). lodging that may be used during the nights that the membership is in force in the hotels that are part of its membership, but for this purpose, the AFFILIATE must previously check with the COMPANY the hotel availability and pay the special services or Continental breakfast if the chosen hotel operates under those modalities. THE AFFILIATE is informed that by provision of Article 17 of Decree 2762 of 1991, tourists may only stay in San Andres Island for the term of four (4) continuous or discontinuous months per year, therefore once THE AFFILIATE complies with this legal requirement, it may continue to use the accommodation in other hotels that are part of its type of membership and where the Colombian legislation has no restrictions on stay or circulation. Likewise, the maximum term of stay in each hotel is defined in decree 2590 of 2009, so that the maximum stay for each reservation will be thirty (30) calendar days in each hotel.
  • MAXIMUM USE PER YEAR. Number of times per year allowed to use the membership in the specified hotels according to the class and subcategory of membership selected by the AFFILIATE.
  • SPECIAL SERVICES. It is the set of additional services to the lodging, which entitles the AFFILIATE and the participants of the reservation to receive the main meals, soft drinks and refreshments if the selected hotel has this service, open bar (according to the hotel schedule), and hotel taxes. The additional price of the SPECIAL SERVICES shall be paid with the confirmation of the reservation, only if this concept is mandatory by the hotel establishment where the AFFILIATE intends to make use of the membership and according to the specific conditions of each hotel. It is clarified that under the concept of SPECIAL SERVICES and CONTINENTAL BREAKFAST, air tickets, airport-hotel-airport transfers, tours, medical assistance cards, tourism cards, and transportation between cities are NOT included.
  • CONTINENTAL BREAKFAST. This is the name given to the food provided to the AFFILIATE as the only food included in the morning, in those hotels that do not operate under the SPECIAL SERVICES standard.
  • ADDITIONAL SERVICES. It is the set of services other than the SPECIAL SERVICES and the CONTINENTAL BREAKFAST, as these consist of services that are not necessarily linked to the accommodation, such as car rental, ticket issuance, ground transfers, tours at destination, among others.
  • RESERVATION. It is the blocking of quotas made by THE COMPANY at the express request of THE AFFILIATE to provide the lodging service, specifying the services to be provided, the persons who will be part of the reservation and other applicable conditions and characteristics.
  • VACATION EXCHANGE MEMBERSHIP. THE COMPANY is affiliated to a company dedicated to promote Vacation Exchanges "HOLIDAY EXCHANGE CHAIN", with the purpose of offering its Members the possibility of consigning their nights of lodging, prior to their transformation, to apply and enjoy their right in a destination and hotel different from those assigned to THE MEMBERSHIP, in an equivalent housing unit in the fixed period and under the conditions and procedures established by the Vacation Exchange Chain.
  • VACATION EXCHANGE CHAIN. It is the legal entity whose purpose is to promote and intermediate the exchange of vacation periods among its clients and to provide them with additional services.
  • TIMESHARE VACATION MEMBERSHIP CONTRACT ON VACATION EXPERIENCE. It is that which has been entered into between THE COMPANY and THE AFFILIATE, where the general terms and conditions that give rise to this Regulation are established; hereinafter THE CONTRACT.
  • AFFILIATION FEES. This is a one-time sum of money paid by the AFFILIATE, which corresponds to defray on behalf of the company all those expenses incurred to enter into the timeshare contract, and everything related to the membership in its sales stage, such as leases, insurance, payroll, commissions, advertising, stationery, utilities and other related concepts.
  • MONTHLY MAINTENANCE FEE. It is the fixed monthly amount that the AFFILIATE must pay to cover the maintenance of the hotels in which it can make use of its MEMBERSHIP, this charge will be generated from the thirteenth (13) month of validity of the MEMBERSHIP until the end of the contract.
  • LODGING SEASON. High season is defined as Holy Week that includes the Friday before Holy Thursday until Holy Saturday, New Year's Eve that corresponds from December 20 of each year until January 15 of the following year, holidays applies holiday season when you take a date that includes Friday, Saturday, Sunday and Monday holiday within your travel cycle. It corresponds to Low season the rest of the year.

ARTICLE III. USE AND OPERATION OF THE MEMBERSHIP SERVICES: THE MEMBERSHIP MEMBER, at the moment of signing THE CONTRACT, freely and voluntarily chooses the category and subcategory of THE MEMBERSHIP that he/she acquires, according to his/her economic capacity and need to enjoy the lodging.

  • USE OF THE MEMBERSHIP. In order to use THE MEMBERSHIP during the term of THE AGREEMENT, THE MEMBERSHIP MEMBER must previously comply with the following requirements: 1) To have paid the membership fees. 2) To have paid 10% of the total value of the membership. 3) Be up to date in the payment of the monthly support fee. 4) To be up to date in the payment of the MEMBERSHIP financing fees. 5) To have paid the cost of the special services and continental breakfast, if the chosen Hotel operates in that way.
  • PROHIBITION OF MULTIPLE RESERVATIONS. THE AFFILIATE is expressly prohibited from making two (2) or more reservations that have the same date of entry to the Hotel and that have the same tourist destination, as this may result in the infraction of increasing the number of passengers allowed.

PARAGRAPH: The Hotels linked to THE MEMBERSHIP are currently those listed below; these may vary without implying any modification to the terms of the Contract; the changes that may occur correspond to hotel infrastructures of equal or better category than the current ones, in which case the AFFILIATE shall be given timely notice.

 

The hotels to which the AFFILIATE may have access may be of the following types:

  1. Light (Continental breakfast. The rest of the day enjoy local and international food in nearby restaurants around the hotel not included). 
    • San Andres: Magic Hill Hotel (Breakfast not included - Lodging only)
    • San Andres: Coral Flower Hotel
  2. Express (Breakfast and dinner included. Restaurant and bar services with additional cost in established schedules). 
    • San Andres: Blue Reef Hotel
    • San Andres: Blue Tower Hotel
    • San Andres: Blue Tone Hotel
  3. Vacation (Full board included: Breakfast, lunch, dinner, bar with cost during hotel hours. Additional restaurant and bar service a la carte, entertainment and pool areas). 
    • Guajira: Wayira Beach Hotel (Drinks not included)
    • San Andres: Blue Cove Hotel
    • Amazon: Amazon Hotel
    • Girardot: Girardot Resort Hotel (Drinks not included)
  4. Exclusive(Full board included: Breakfast, lunch, dinner. Drinks not included) 
    • San Andres: Acantilado de la Tierra Hotel

ARTICLE IV. RESERVATION AND REQUEST PERIODS Handling of reservation periods, requests and confirmation of reservations.

  • TIME PERIODS FOR REQUESTING RESERVATIONS. THE AFFILIATE, who wishes to request a hotel reservation, must inform THE COMPANY using any of the following contact channels, at least fifteen (15) calendar days prior to the check-in date at the Hotel, to request the reservation THE AFFILIATE may contact THE COMPANY through the following channels:
  • Upon receipt of the MEMBER'S request, THE COMPANY will confirm the reservation, provided THE MEMBER is up to date in the payment of his/her obligations to THE COMPANY. These requests are subject to housing availability and will be processed in strict chronological order of presentation by the Members.

ARTICLE V. CONFIRMATION OF RESERVATION. To confirm a reservation THE COMPANY will verify the following conditions:

  • The AFFILIATE must have paid to the COMPANY the total price of the MEMBERSHIP, or at least ten percent (10%) of the same or the value indicated in the rate offered, at the time of requesting the reservation, and must also be fully up to date with the COMPANY in all respects.
  • The AFFILIATE must have paid for the corresponding SPECIAL SERVICES or CONTINENTAL BREAKFAST, when using the hotels assigned to THE MEMBERSHIP that operate in this modality.
  • That there is availability at the hotel and on the dates requested.
  • Children from 2 years of age count as an adult to determine the value to be paid in case of being a GUEST, as well as to determine the room capacity at the time of booking.
  • The maximum number of people per reservation will depend on the category and subcategory of membership purchased by the AFFILIATE.

ARTICLE VI. CHANGES, NEWNESS TO THE HOTEL RESERVATION AND PENALTIES FOR CANCELLATION: THE AFFILIATE in case of modifying the hotel reservation, the conditions of the table of changes and new items will be applicable with the readjustment of the rate for changes or other additions that at the time will be settled, in the event of cancellation of the reservation must assume the collection of penalties as appropriate.

  • In the event that airline tickets have been processed through THE COMPANY to use THE MEMBERSHIP, and flight cancellations attributable to THE AFFILIATE occur, the penalties established by THE COMPANY and/or the airline shall be applied at THE AFFILIATE'S expense.

PARAGRAPH: FLEXIBLE BOOKINGS - If you book your vacation you will be able to make date changes to travel when you choose without penalty. All rates with the Flexible Booking seal may apply to this traveler friendly policy. Applies to bookings made between March 19 and November 30, 2020.

 

You will be able to change the date without additional charges if it is due to a health emergency as many times as necessary. If it is for other reasons, the first change will be without penalty.

 

In case of requiring more changes or notifying the change less than 45 days before the travel date, the passenger must assume the penalty and fare difference if applicable.

 

The modification must be made no later than 45 calendar days before the travel date.

 

You may reschedule your reservation or voucher for travel on available dates up to one (1) year after your initial travel date or up to one (1) year after the end of the health emergency.

 

ARTICLE VII. CHECK IN AND CHECK OUT TIME: The check in and check out time of the hotels is regulated in each one of them, their schedules are of strict compliance. In general, check in will be from 5:00 p.m. (Check In) and check out at 1:00 p.m. (Check Out). At check-in, the AFFILIATE must present the document proving the reservation (Hotel Voucher) where required, sign an inventory listing the furniture and accessories of the assigned room. The check out shall be made before the check out time (Check Out) according to what is established by the hotel. The AFFILIATE shall at that time pay for the services rendered that are not included in the SPECIAL SERVICES or CONTINENTAL BREAKFAST, and shall be responsible for the condition in which he/she leaves the furniture and accessories of the room used, as well as any other damage he/she may have caused in the hotel facilities.

 

ARTICLE VIII. RIGHTS OF THE AFFILIATE: The rights of THE AFFILIATE with respect to THE MEMBERSHIP are as follows:

  • Use THE MEMBERSHIP under the terms and conditions agreed upon in these Regulations and in THE CONTRACT signed between THE AFFILIATE and THE COMPANY. Additionally, he/she will be able to obtain possible special discounts in the SPECIAL SERVICES or CONTINENTAL BREAKFAST as established in each of the hotels.
  • To make use of the Vacation Exchange membership to which THE COMPANY is affiliated, subject to compliance with the requirements established by the respective Vacation Exchange Company, these Regulations and THE CONTRACT entered into between THE COMPANY and THE AFFILIATE.
  • THE AFFILIATE has the right to know and request information regarding the total value of the membership, including the statement of account.
  • Use the property and areas of the hotels linked to THE MEMBERSHIP, according to their nature and ordinary destination, with the necessary care and moderation established for such purpose.
  • THE MEMBERSHIP AFFILIATE has the right to use it in any of the hotels assigned to THE MEMBERSHIP, as long as they comply with the reservation rules established in these Regulations and subject to availability.

ARTICLE IX. AFFILIATE'S OBLIGATIONS: The AFFILIATE'S obligations with respect to THE MEMBERSHIP are as follows

  • Pay the corresponding price of the MEMBERSHIP and the value of the AFFILIATION RIGHTS, in accordance with the terms of THE CONTRACT.
  • Pay the value of the monthly maintenance fee of the hotels that are part of the portfolio.
  • Pay the value of the SPECIAL SERVICES or CONTINENTAL BREAKFAST, according to the hotel where you have made your reservation, if those hotel establishments operate permanently under those figures.
  • THE AFFILIATE shall be jointly and severally liable for any shortages and damages caused to the assigned housing unit, its furnishings or the common facilities of the hotel where he/she uses THE MEMBERSHIP.
  • THE AFFILIATE shall inform THE COMPANY of any breakdown, damage or inconvenience in the room assigned to him/her in the Hotel where he/she is staying.
  • Every AFFILIATE shall take care of, conserve and watch over all the property, belongings and utensils, being liable for his own actions, those of his spouse, those of his family in general and guests, even for slight fault, in accordance with the applicable laws.
  • Designate an address for notification purposes and inform the COMPANY in writing in a timely manner of any changes; the same applies to their e-mail addresses.
  • During their stay in the hotel, to allow urgent works or repairs to be carried out in the housing unit and their eventual transfer to another unit of the same characteristics, in the event that they occur.
  • To use the facilities of the hotels assigned to THE MEMBERSHIP at the scheduled times and under the conditions established for this purpose by each of the hotels.
  • To report the valuables that he/she is carrying with him/her, at the time of check-in at the Hotel where he/she is staying to make use of the timeshare membership, so that the Hotel and THE COMPANY will only be liable for those goods and articles reported and left in custody.
  • The AFFILIATE and his/her companions shall behave appropriately while staying in the hotels that are part of the membership, in such a way that if the AFFILIATE or one of his/her companions commits acts that may be classified as violations of the National Police Code, he/she may be removed from the hotel without the refund of any money corresponding to the lodging cycle.
  • Submit to the COMPANY the report of the situations that generate a nonconformity related to the non-compliance under the service, within forty-five (45) current days following the occurrence of the event, all under the terms of Law 300 of 1996 and Law 1480 of 2011.
  • Any others established in these Rules and Regulations.

ARTICLE X. PROHIBITIONS: AFFILIATE agrees not to engage in any of the following:

  • To carry out on its own, physical modifications or remodeling, repairs, improvements, additions, alterations, removals or substitutions in the housing units or in the goods, areas and services of common use, or in the furniture therein.
  • Occupying the respective housing unit by a number of persons exceeding the maximum occupancy capacity established by the hotel and previously confirmed by THE COMPANY in the corresponding hotel reservation.
  • Using equipment in the common or private areas of the hotels that generates sound or noise that disturbs any AFFILIATE, guest or visitor, at the discretion of the hotel operator.
  • Bringing animals of any kind into the premises or common areas of the hotel or the housing unit.
  • Hanging clothes, towels, bathing suits or any other items in the windows, terraces or place that is exposed or visible to other parts of the hotel.
  • THE MEMBERSHIP MEMBERSHIP may not use THE MEMBERSHIP for commercial purposes in which it intends to achieve an economic profit; that is, use THE MEMBERSHIP to resell or market vacation plans to the general public taking advantage of the benefits of this; if this infraction is detected, THE COMPANY will terminate THE CONTRACT that covers this Regulation unilaterally, without the payment of any indemnity, applying the terms of THE CONTRACT.
  • The AFFILIATE is warned that sexual exploitation in Law 679/01 and 1336/09 the exploitation and sexual abuse of children and adolescents in the country are criminally and administratively sanctioned, according to the laws in force.

ARTICLE XI. OBLIGATIONS OF THE COMPANY: THE COMPANY in its capacity as administrator and operator of THE MEMBERSHIP, shall have the following obligations, which may be exercised directly or through third parties:

  • Respect the rights of THE AFFILIATE provided for in THE CONTRACT and the Regulations, guaranteeing the use and enjoyment of the timeshare membership, in accordance with the accepted conditions and hotel availability.
  • Allow the AFFILIATE to make use of the accommodation that corresponds to him/her, under the terms, conditions and terms agreed upon by the AFFILIATE in THE CONTRACT and in the general conditions of THE MEMBERSHIP contained in these Regulations.
  • To hire the personnel it deems necessary for the proper administration and operation of tourism services.
  • Execute and enforce the provisions of THE CONTRACT, of these Regulations and the legal norms in force.
  • To collect the sums to be paid by THE AFFILIATE.
  • Establish and inform on the rules of operation of the hotels assigned to THE MEMBERSHIP, schedules, specific prohibitions other than those indicated in these Regulations and dictate the necessary norms for their correct operation.
  • Initiate the necessary and pertinent actions when the AFFILIATE or its personnel cause damages to the hotels, and if the case arises, initiate proceedings against those persons who have caused damages.

ARTICLE XII. AFFILIATION FEES: This sum of money destined to defray the expenses of the time-share contract shall not be reimbursed to the AFFILIATE, except in the events legally contemplated.

 

ARTICLE XIII. HOLIDAY EXCHANGE COMPANY: As an additional benefit for THE AFFILIATE, THE COMPANY shall be affiliated, while THE MEMBERSHIP exists, to a Vacation Exchange Company, through which THE AFFILIATE has the option to deposit and use his/her lodging nights, with the purpose of enjoying a destination other than those included in THE MEMBERSHIP in an equivalent vacation unit, in the period of time established and under the conditions established by the Vacation Exchange Company.

 

THE MEMBERSHIP shall provide AFFILIATE upon request, in accordance with the terms set forth in THE AGREEMENT and these Regulations, a free affiliation for the term determined by THE AGREEMENT to the Vacation Exchange Company, in order to effectuate the affiliation to the exchange membership.

 

Any exchange process shall be governed by the terms and conditions of the respective company's subscription and membership agreement.

 

PARAGRAPH: The exchange expenses correspond exclusively to the AFFILIATE, as well as the membership renewal expenses when the membership expires and the AFFILIATE is interested in renewing it.

 

ARTICLE XIV. DEFAULTS: For such purpose, the following shall be understood as defaults on the part of THE AFFILIATE or THE COMPANY:

 

DEFAULT BY THE AFFILIATE: In case of total or partial default of the obligations contracted by THE AFFILIATE, THE COMPANY may assume as a penalty the amounts paid by THE AFFILIATE, up to the amount corresponding to the initial fee established in the time-share contract. THE COMPANY shall reimburse the amounts that result in favor of THE AFFILIATE, for the total price stipulated, after deducting the aforementioned penalty. The amounts paid for membership fees, special services, continental breakfast, maintenance fees, or other tourist services duly rendered by THE COMPANY shall not be reimbursed. The amounts subject to reimbursement shall not cause additional economic compensations. The maximum term for refund of balances in favor of the AFFILIATE, by THE COMPANY shall be one (1) month, counted from the date of termination of the contract, in addition they are considered non-compliance:

  • Engaging in any conduct in the hotel that constitutes a violation or is likely to be classified as unlawful.
  • Terminate the lodging without paying the additional charges and/or services incurred by the AFFILIATE or any of his/her companions.
  • Pretending to deceive the hotel where the MEMBERSHIP is used, occupying a room with a higher number of people than the maximum allowed and authorized in the Hotel Voucher.
  • Infringing the rules set forth in these Regulations.
  • Use the membership for commercial purposes.
  • DEFAULT BY THE COMPANY: THE MEMBER may request the termination of the Contract, being up to date in the payment of its obligations, in those cases in which it is appropriate, derived from a proven breach of the obligations by THE COMPANY, in which case THE COMPANY shall reimburse the updated value in the corresponding proportion of the value of THE MEMBERSHIP, discounting the days in which the service was kept at its disposal for use. It shall not reimburse the value of the membership fees paid by the member, nor special services and continental breakfast concepts, nor maintenance fees, nor other tourist services duly rendered by THE COMPANY. The term of reimbursement shall be one (1) month, and the parties agree that the amounts to be reimbursed shall not have additional economic compensations.

ARTICLE XV. PENALTIES: Failure to comply with the obligations or infringement of the prohibitions, advanced by THE AFFILIATE and/or GUEST, to any obligation established in these Regulations, shall give rise to the application of the following sanctions:

  • Warning: For the AFFILIATE, if the infraction was for the first time and did not generate any damage.
  • If he/she repeats the behavior that gave rise to the reprimand, THE COMPANY shall proceed to deduct from the sums of money collected for the value of the membership, the value equivalent to the damage caused.
  • In the case of recidivism or commission of faults THE COMPANY may: Terminate THE CONTRACT entered into between THE COMPANY and THE AFFILIATE. In such case, the provisions of the preceding paragraph shall apply.

PARAGRAPH: In the appropriate cases, in addition to the indicated penalty, THE AFFILIATE shall pay the repair or replacement expenses incurred by the hotel to remedy the damage caused, as well as the costs and fees, including any legal costs that may be incurred.

 

ARTICLE XVI. PROCEDURE FOR APPLICATION OF SANCTIONS: THE COMPANY shall impose the penalties provided for in the preceding Article, in accordance with the following procedure:

  • THE COMPANY shall inform THE AFFILIATE in writing, at the address registered by the AFFILIATE in THE CONTRACT or in the data it has provided, about the infraction or infractions of these Regulations that have been committed by the AFFILIATE or the companions of its reservation, attaching the estimate of expenses for repairs or replacements to the hotel, in case there has been material damage to it, also indicating the type of sanction that may be applicable according to the case. Once the AFFILIATE receives the above communication, it shall have a term of ten (10) business days to respond, expressing all the arguments that it intends to be taken into account, and providing the documentary evidence that in its opinion should be analyzed.
  • THE COMPANY shall review the reply of THE AFFILIATE and within a maximum term of five (5) business days shall notify the decision on the imposition of a sanction or acquittal if applicable, and no appeals shall be allowed against such decision. XVI.III. The payment of the expenses for the repair or replacement incurred by the hotel shall be made within a term of one (1) month counted from the moment in which THE COMPANY informs THE AFFILIATE about the amounts to be paid.
  • In the event that the AFFILIATE fails to pay the amount owed, it shall pay late payment interest which shall be calculated on an annual basis, applying the maximum rate allowed by law, for each month or fraction thereof that the non-compliance lasts.
  • THE AFFILIATE shall be disqualified from enjoying THE MEMBERSHIP for the duration of its non-compliance, despite being able to comply with the other requirements for its use. After three (3) months counted from the date of notification, if THE AFFILIATE continues in default, THE COMPANY may terminate THE AGREEMENT, regardless of the legal actions it may take against the defaulting party for the collection of the appropriate amounts and damages caused.
  • THE AFFILIATE is jointly and severally liable to THE COMPANY for the guests and other persons listed in its reservation, for the damages caused to the hotels assigned to THE MEMBERSHIP.

ARTICLE XVII. EXTENSION OF THE REGULATIONS: Everything stipulated in these Regulations for THE AFFILIATE regarding prohibitions and obligations, both those related to the use of rooms as well as the goods and services of THE MEMBERSHIP shall apply equally to GUESTS and other persons to whom THE AFFILIATE allows the enjoyment of the lodging.

 

ARTICLE XVIII. ASSIGNMENT: THE AFFILIATE may assign the present Contract, prior verification by THE COMPANY, since it is the individual characteristics of the contracting parties that motivate the subscription of this contract, being this business an intuito persona commercial agreement.

 

ARTICLE XIX. AMENDMENTS TO THE GENERAL CONDITIONS OF THE MEMBERSHIP: THE COMPANY shall periodically update the Internal Regulations of the Timeshare Membership, which shall be informed to the AFFILIATES through electronic publication on THE COMPANY's web page, once the regulations are published with its updates, it shall be the most recent version and applicable to all the contracts subscribed.

 

ARTICLE XX. TERMINATION OF MEMBERSHIP: MEMBERSHIP shall terminate for the following reasons:

  • By decision of a competent judicial authority.
  • Due to the expiration of the term of duration.

ARTICLE XXI. DISCLAIMER OF LIABILITY: THE COMPANY shall not be liable for monies delivered to commercial advisors or consigned to bank accounts other than those informed in the contract or through the web page https://www.onvacation.comm.

 

ARTICLE XXII. INVALIDITY: The invalidity or nullity of any of the Articles of these Regulations shall in no way affect the validity, legality and applicability of the other provisions of these Regulations. The failure to enforce any Article set forth in these Rules and Regulations shall not constitute a waiver thereof or a waiver that may not be enforced at a later date.

 

ARTICLE XXIII. APPLICABLE LEGISLATION: Everything provided for in these Regulations shall be governed by the laws of the Republic of Colombia, especially those corresponding to the regulation of timesharing, Law 1480 of 2011, Law 300 of 1996, and Decree 1074 of 2015 as amended by Decree 254 of 2022.

 

ARTICLE XXIV. NOTICES: Any communication regarding modifications to these Regulations shall be delivered personally, by registered mail, e-mail or publication open for consultation on THE COMPANY's web page, addressed to THE AFFILIATE, to the address registered in THE CONTRACT or such other address as may be designated in writing at a later date.

 

ARTICLE XXV. SETTLEMENT OF DISPUTES: The differences that may arise in the execution and interpretation of this CONTRACT shall be submitted to a direct settlement stage. If they cannot be resolved in this process, the parties may resort to the ordinary jurisdiction.

 

ARTICLE XXVI. USE OF THE REGULATIONS AND UPDATES: When references or references are made to the Regulations for Use, or General Conditions, or simply the Regulations, it shall be understood that the reference is made to this document, which shall be updated periodically in accordance with the dynamics of the market, the operation of the hotels, the needs of the AFFILIATES and other applicable circumstances, therefore when the regulations are updated they shall be sent to the AFFILIATE by any of the registered means of contact, and shall also be kept updated on the company's web page.
